Terms of Service

1. Acceptance of these Terms

These Terms of Service ("Terms") govern your access to and use of OgaRent's website, dashboard, tenant portal, and related services (together, the "Service"), operated by OgaRent Technologies Limited ("OgaRent", "we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Who Can Use OgaRent

OgaRent accounts are created by landlords, property owners, and portfolio managers ("Landlords") who are at least 18 years old and legally able to enter into binding contracts under Nigerian law. Landlords may invite tenants ("Tenants") to the Service; Tenant accounts are provisioned by the Landlord and are subject to these Terms as well.

3. Description of the Service

OgaRent helps Landlords manage rental properties by:

• Issuing dedicated virtual bank accounts to Tenants through our licensed banking partner, for the purpose of collecting rent;
• Automatically matching incoming payments to the correct property, unit, and Tenant;
• Generating digital receipts, ledgers, and reconciliation reports;
• Sending automated reminders for upcoming or overdue rent; and
• Providing Tenants with a portal to view balances, payment history, and receipts.

OgaRent is a software and payments-facilitation platform. We are not a bank. Virtual accounts and the movement of funds are provided by our licensed banking/payments partner and are subject to that partner's own terms and applicable Central Bank of Nigeria (CBN) regulations.

4. Accounts & Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at hello@ogarent.ng if you suspect unauthorized access to your account.

5. Rent Payments & Virtual Accounts

Funds paid into a Tenant's virtual account are recorded against that Tenant's ledger and made available to the Landlord in line with the payout schedule selected on their plan. OgaRent is not liable for delays caused by the Tenant's bank, network providers, or our banking partner's own processing times. Landlords are responsible for verifying that ledger records match their own expectations and for raising discrepancies promptly.

6. Fees

Fees are set out on our Pricing page and may include a percentage-based transaction fee (capped as stated on that page), a flat processing fee charged to Tenants per transfer, and/or a monthly subscription fee depending on the plan selected. We may change our fees from time to time; where required, we will give reasonable notice before changes take effect.

7. Acceptable Use

You agree not to use the Service to:

• Break any applicable law, including tenancy, banking, or data protection law;
• Submit false, misleading, or fraudulent information about a property, tenancy, or payment;
• Attempt to gain unauthorized access to another user's account or data; or
• Interfere with, disrupt, or reverse-engineer the Service.

We may suspend or terminate accounts that violate this section.

8. Landlord & Tenant Relationship

OgaRent is not a party to any tenancy agreement between a Landlord and a Tenant, and does not act as a letting agent. Landlords remain solely responsible for the terms of their tenancy agreements, compliance with local tenancy law, and any disputes arising from the tenancy itself.

9. Service Availability

We aim to keep the Service available at all times but do not guarantee uninterrupted access. We may suspend the Service for maintenance, security reasons, or events outside our reasonable control.

10. Termination

You may close your account at any time by contacting us. We may suspend or terminate your access if you breach these Terms, if required by our banking partner or a regulator, or where we reasonably believe continued access poses a risk to OgaRent or other users.

11. Disclaimers & Limitation of Liability

The Service is provided "as is" without warranties of any kind, to the extent permitted by law. To the fullest extent permitted by applicable law, OgaRent will not be liable for indirect, incidental, or consequential damages arising from your use of the Service. Nothing in these Terms limits liability that cannot be excluded under Nigerian law.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the dashboard before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes will be subject to the exclusive jurisdiction of the courts of Nigeria.
